TERMS AND CONDITIONS - DEAR ALEX

OVERVIEW
Welcome to Dear Alex! The terms "we", "us" and "our" refer to Dear Alex, LLC ("Dear Alex"). Dear Alex operates both a letter subscription service and an online store, including all related information, content, features, tools, products and services (collectively, the "Services"). Our online store is powered by Shopify, which enables us to provide e-commerce services to you.
The below terms and conditions (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use any of our Services, including our letter subscription service and online store.
By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.
SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.
To use the Services, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all the information you provide is correct, current and complete and that you have all rights necessary to provide this information.
You are solely responsible for maintaining the security of your account credentials and for all of your account activity. You may not transfer, sell, assign, or license your account to any other person.
SECTION 2 - LETTER SUBSCRIPTION SERVICE
2.1 Service Description
Dear Alex provides a personalized letter subscription service where physical letters are mailed to Subscribers at regular intervals. Letters are delivered by the 1st and 15th of every month to the address provided by the Subscriber.
2.2 Subscription and Billing
- Subscriptions are billed in advance on an annual basis during enrollment
- All payments are due immediately upon subscription or renewal
- Subscription fees are non-refundable except as expressly provided in Section 2.3
2.3 Money-Back Guarantee
- We offer a 30-day money-back guarantee from the date of your initial subscription
- To request a refund within the 30-day period, contact us at alex@dearalex.store
- Refunds will be processed within 5-10 business days and will be credited to the original payment method
- This guarantee applies only to first-time subscribers and cannot be combined with other offers
2.4 Delivery Schedule and Address Responsibility
- Letters are scheduled for mailing on the 10th and 25th of each month
- Delivery dates may vary due to postal service delays, holidays, or other circumstances beyond our control
- Subscriber is solely responsible for providing and maintaining accurate delivery address information
- Subscriber must notify Dear Alex immediately of any address changes
- Dear Alex is not responsible for lost, misdirected, or undelivered letters due to incorrect or outdated address information provided by Subscriber
- No refunds or credits will be issued for letters sent to incorrect addresses due to Subscriber's failure to update address information
SECTION 3 - ONLINE STORE AND PRODUCTS
3.1 Product Representation
We have made every effort to provide an accurate representation of our products and services in our online stores. However, please note that colors or product appearance may differ from how they may appear on your screen due to the type of device you use to access the store and your device settings and configuration.
We do not warrant that the appearance or quality of any products or services purchased by you will meet your expectations or be the same as depicted or rendered in our online stores.
3.2 Product Availability
All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region or jurisdiction, on a case-by-case basis.
SECTION 4 - ORDERS AND PURCHASES
When you place an order through our online store, you are making an offer to purchase. Dear Alex reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until Dear Alex confirms acceptance. We must receive and process your payment before your order is accepted.
Please review your order carefully before submitting, as Dear Alex may be unable to accommodate cancellation requests after an order is accepted. In the event that we do not accept, make a change to, or cancel an order, we will attempt to notify you by contacting the email, billing address, and/or phone number provided at the time the order was made.
Your purchases are subject to return or exchange solely in accordance with our Refund Policy. You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.
SECTION 5 - PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs or import charges.
You agree to provide current, complete and accurate purchase, payment and account information for all purchases made through our Services. You represent and warrant that (i) the credit card information you provide is true, correct, and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including shipping and handling charges and all applicable taxes, if any.
SECTION 6 - SHIPPING AND DELIVERY
We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer products to the carrier, title and risk of loss passes to you.
SECTION 7 - INTELLECTUAL PROPERTY
7.1 Protection of Dear Alex Brand and Service
The name "Dear Alex" along with all associated logos, trademarks, service marks, trade names, and branding elements are the exclusive property of Dear Alex and are protected by trademark and other intellectual property laws.
7.2 Letter Content and Creative Materials
All letter content, including but not limited to text, creative writing, illustrations, designs, formatting, concepts, and artistic elements, constitutes proprietary intellectual property owned by Dear Alex. Letters are protected by copyright law and remain the exclusive property of Dear Alex.
7.3 Website and Store Content
Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by Dear Alex, its affiliates or licensors and are protected by U.S. and foreign patent, copyright and other intellectual property laws.
7.4 Limited Use License
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent.
7.5 Prohibited Use
Subscriber is prohibited from:
- Using the "Dear Alex" name, logo, or any confusingly similar marks in connection with any business, service, or product without express written permission
- Reproducing, distributing, displaying, performing, transmitting, selling, licensing, or otherwise exploiting any Dear Alex content for commercial purposes
- Creating derivative works based on Dear Alex content or letters
SECTION 8 - OPTIONAL TOOLS AND THIRD-PARTY LINKS
You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input. You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations or conditions of any kind and without any endorsement.
The Services may contain materials and hyperlinks to websites provided or operated by third parties. We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you choose to access.
SECTION 9 - RELATIONSHIP WITH SHOPIFY
Dear Alex's online store is powered by Shopify, which enables us to provide e-commerce services to you. However, any sales and purchases you make in our Store are made directly with Dear Alex. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Dear Alex, including any injury, damage, or loss resulting from purchased products and services.
SECTION 10 - PRIVACY AND DATA PROTECTION
10.1 Data Collection and Use
Dear Alex collects personal information including name, address, email, payment information, and communication preferences as necessary to provide the Services. Personal information is used solely for service delivery, customer communication, billing, and service improvement purposes.
10.2 Data Security and Retention
Dear Alex implements reasonable security measures to protect personal information from unauthorized access, disclosure, alteration, or destruction. Personal information is retained only as long as necessary to provide the Services and comply with legal obligations.
10.3 Shopify Data Processing
Because our online store is hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services for you. Information you submit to the Services will be transmitted to and shared with Shopify as well as third parties that may be located in other countries than where you reside.
SECTION 11 - FEEDBACK
If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, or other content, you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display such content in any medium for any purpose, including for commercial use.
SECTION 12 - CANCELLATION, TERMINATION, AND SUSPENSION
12.1 Letter Subscription Cancellation
- Subscribers may cancel their letter subscription at any time by contacting customer service
- Cancellations requested within the first 30 days are subject to the money-back guarantee provisions
12.2 Termination Without Penalty After 30 Days
After thirty (30) days from the initial subscription date, either Dear Alex or Subscriber may terminate the letter subscription at any time without penalty and without obligation to provide refund for unused portions of prepaid subscription fees.
12.3 Termination for Cause
We may terminate this agreement or your access to the Services (or any part thereof) in our sole discretion at any time without notice for material breach of these Terms, and you will remain liable for all amounts due up to and including the date of termination.
SECTION 13 - LIMITATION OF LIABILITY AND ERRORS & OMISSIONS
13.1 General Limitation
Dear Alex's total liability for any claims arising from or related to the Services shall not exceed the amount paid by you during the three months immediately preceding the claim. In no event shall Dear Alex be liable for indirect, incidental, special, consequential, punitive, or exemplary damages.
13.2 Errors and Omissions
Occasionally there may be information on or in the Services that contain typographical errors, inaccuracies or omissions. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice.
SECTION 14 - DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.
SECTION 15 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless Dear Alex, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable attorneys' fees, arising from your breach of these Terms, your violation of any law or the rights of a third party, or your access to and use of the Services.
SECTION 16 - PROHIBITED USES
You may access and use the Services for lawful purposes only. You may not access or use the Services for any unlawful purpose, to violate any laws, to infringe upon intellectual property rights, to harass or harm others, to transmit false information, to send spam, to impersonate others, or to engage in any conduct that may harm Dear Alex, Shopify, or users of the Services.
SECTION 17 - GOVERNING LAW AND JURISDICTION
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Texas.
SECTION 18 - MODIFICATIONS
We reserve the right to modify these Terms at any time with reasonable notice. Material changes will be communicated to users via email or postal mail at least 30 days prior to taking effect. Continued use of the Services after the effective date of modifications constitutes acceptance of the modified Terms.
SECTION 19 - SEVERABILITY AND ENTIRE AGREEMENT
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between Dear Alex and you regarding the Services.
